Terms of Service
These terms govern the use of this website and the professional services provided by Dft Sustainable Solution Inc. Please read them carefully before engaging our practice or submitting details through this site.
1. Acceptance of These Terms
By accessing this website, submitting an enquiry or engaging Dft Sustainable Solution Inc. for any program, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use the website and should not engage our services. These terms apply to every visitor, whether acting as an individual, as an employee of a client organisation or as a representative of a public body.
Where you use this website or engage our services on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms. If you do not have that authority, you must not submit an enquiry or accept a proposal on the organisation behalf.
These terms are written in English and are governed by them. Any translation is provided for convenience only, and in the event of a conflict the English text prevails.
2. About Our Company
Dft Sustainable Solution Inc. is a computer systems design and professional sustainability services practice operating from 637 Makwa Pvt, Ottawa - K1K 5A3, Canada (CA). Our contact email address is alert@dftsustainable.hair and our contact telephone number is +17318793884.
We design integrated computer systems that record, organise and report on environmental measurements, and we deliver field programs including waste audits, retrofit plans, community walks, energy checks, grant reviews and school visits. References in these terms to the services, the programs or the practice mean the work and materials we provide in connection with that business.
These terms do not replace a signed engagement agreement. Where a written agreement covers a specific engagement, both documents apply, and the signed agreement takes priority to the extent of any conflict.
3. Use of This Website
We grant you a limited, non-exclusive and revocable licence to view the pages of this website for your own lawful purposes. You may print or save individual pages for reference in connection with a genuine enquiry about our services. You must not copy substantial parts of the site into another website, publication or commercial product without our written permission.
You agree not to interfere with the operation of the website, not to attempt to gain unauthorised access to any system behind it, not to introduce malicious code and not to use automated tools to scrape content at a rate that burdens our host. We may suspend access where we reasonably believe that the site is being misused.
The contact form on this website prepares a message in your own email client. It does not hold your message on a server we operate. You are responsible for the accuracy of the details you send and for keeping a copy of anything you submit.
4. Our Programs and Services
The programs we offer are described in general terms on the Services page. That description is an introduction and not a complete specification. The precise scope of any engagement is set out in a written proposal or engagement agreement prepared for the client, which will state the programs to be delivered, the site or sites involved, the expected duration and the deliverables.
Field programs depend on conditions on the ground. A waste audit bay requires a safe sorting area and a reliable power supply for the scale. An energy check window requires access to the metering points and a reasonably normal operating week. A community walk requires a route that is safe to walk and a local partner who can help with promotion. Where a condition cannot be met, we will discuss an alternative or a rescheduling rather than proceed with a compromised method.
Our recommendations are based on the measurements taken during the engagement. They are professional opinions offered in good faith, not guarantees of a particular saving, grant award or certification outcome.
5. Engagement and Scheduling
An engagement begins when a written proposal is accepted or an agreement is signed, and when any deposit required by the proposal has been received. Until that point, dates discussed by email or telephone are indicative only and may be offered to another client.
We schedule field work in a sequence that makes sense for the measurement. Where several programs are combined, the waste audit and energy check are normally placed before the retrofit plan is finalised, and grant reviews are aligned with the client budget calendar. Requests to change a confirmed date must be made in writing and are subject to availability.
Where a client cancels a confirmed field visit at short notice, we may charge for the travel and preparation already incurred. Any such charge will be described in the proposal before it becomes payable.
6. Fees, Quotes and Invoicing
Fees for each engagement are set out in the proposal and are quoted in Canadian dollars unless the proposal states otherwise. Quotations are valid for the period stated in the document and, where no period is stated, for thirty days from the date of issue.
Unless the proposal states otherwise, invoices are issued at the milestones described in the agreement and are payable within thirty days. Late payment may attract interest at the rate stated in the proposal or, where no rate is stated, at a reasonable rate permitted by law. We may suspend work on an account that is significantly overdue after giving written notice.
Travel time and third party costs, such as laboratory analysis or certified technician fees, are quoted separately where they apply. Taxes are added where required by law. We do not add charges that were not described in the proposal without the client written agreement.
7. Client Responsibilities
To deliver a program well, we need timely cooperation from the client. The client is responsible for providing accurate site information, arranging access to the areas to be assessed, identifying a site contact who can answer questions during the visit, and supplying the records reasonably requested during planning.
The client is also responsible for the safety of our staff while on site, including informing us of known hazards, providing any required induction and ensuring that the areas we are to assess are safe to enter. Where a site has a permit to work system, the client must arrange the necessary permits before the visit.
Where the client supplies data from its own systems, the client confirms that it has the right to share that data with us for the purposes of the engagement. We rely on that confirmation and are not required to verify the title of every record supplied.
8. Site Access and Safety
Our staff will follow the safety rules of every site they enter. We reserve the right to stop work and leave a site where a hazard has not been controlled or where instructions cannot be agreed. A stoppage of this kind will be treated as a change to the schedule and may result in a rebooking fee where the cause lies with the client.
Participants in community walks are responsible for their own conduct and for following the guidance of the walk leader. We ask walkers to stay on the agreed route and to avoid entering private property. A parent or guardian must accompany a minor on a public walk unless the walk is organised with a school as part of a school visit sitting.
For school visit sittings, the school remains responsible for supervision of its students at all times. Our staff provide the activity and the equipment, but they do not replace the duty of care held by the school.
9. Deliverables and Systems
Deliverables are described in the proposal and are delivered in the format stated there. A typical deliverable includes a written report, a data set and a tracking system prepared for the client. The tracking system is designed to run with tools the client already owns, and its operation is explained during handover.
We provide a reasonable period of support after handover for questions about a deliverable. That period is stated in the proposal. Support beyond the stated period, or support for changes the client has made to the system, is treated as a new engagement and quoted separately.
Where a deliverable includes a spreadsheet, dashboard or other tool, the client is responsible for keeping backups. We are not liable for loss caused by a client deleting, overwriting or corrupting a deliverable after handover, though we will help recover what we can as a matter of goodwill.
10. Intellectual Property
The content of this website, including text, layout, code and design, is owned by Dft Sustainable Solution Inc. or used under licence and is protected by copyright and other intellectual property laws. Nothing in these terms transfers ownership of that content to you.
On full payment of the fees for an engagement, the client receives a licence to use the deliverables for its own internal business purposes. The methods, templates, tools and systems that we bring to an engagement remain our property, and we may reuse general techniques and know-how in other work, provided that no client confidential information is disclosed.
Where an engagement requires a deliverable to be assigned outright to the client, that assignment is set out in the signed agreement. Absent such a clause, the licence in this section applies.
11. Confidentiality
Each party agrees to keep confidential the non-public information it receives from the other in connection with an engagement. Confidential information includes site records, financial details, internal reports and any information marked as confidential, whether in writing or shared verbally.
Confidentiality obligations do not apply to information that is already public, that the receiving party already held lawfully, that is independently developed without reference to the other party or that the receiving party is required to disclose by law. Where disclosure is required by law, the receiving party will give notice to the other party where it is lawful to do so.
We may describe an engagement in general terms in our credentials, such as the type of facility and the program delivered, but we will not name a client or disclose its figures without written permission.
12. Data and Measurement Records
Audit records produced during an engagement belong to the client. We process those records as a service provider under the engagement agreement and keep our own copies only for the purposes described in our Privacy Policy, which forms part of these terms.
We use aggregated and de-identified measurements to improve our methods and to report on the general performance of our programs. Aggregated data does not identify a client, a facility or an individual participant.
The client is responsible for deciding whether it may share the records with a third party, including a grant body or a regulator. We can assist with preparing a submission, but the decision to disclose remains with the client.
13. Third Party Tools and Links
Our deliverables sometimes rely on third party software, such as a spreadsheet platform or a mapping service. The client is responsible for maintaining any licence required for those tools. We are not responsible for a change to a third party product that affects the operation of a deliverable after handover, though we will advise on a workaround where we can.
This website may link to external sites such as grant portals and partner organisations. Those sites are not under our control, and we make no representation about their content or availability. A link does not imply endorsement of the whole of the linked site.
14. Disclaimer of Warranties
This website is provided on an as-is basis. While we take care to keep the information current and accurate, we do not warrant that the site will be available without interruption, free of error or free of harmful components. Program descriptions on the site are general and may differ from the scope agreed for a specific engagement.
Our professional services are delivered with the skill and care reasonably expected of a competent practice in our field. We do not warrant a specific outcome, including a particular reduction in waste, energy use or cost, the award of a grant or the achievement of a certification. Outcomes depend on factors outside our control, including client decisions, equipment condition and the terms of funding programs.
Nothing in these terms excludes a warranty or condition that cannot be excluded under applicable law.
15. Limitation of Liability
To the fullest extent permitted by law, Dft Sustainable Solution Inc. is not liable for indirect, incidental, special or consequential loss arising from the use of this website or from an engagement, including loss of profit, loss of opportunity or loss of data. Our total liability for a claim arising from an engagement is limited to the fees paid for the engagement in question.
This limitation does not apply to fraud, wilful misconduct or any liability that cannot be limited by law. Where a client is a consumer protected by mandatory consumer legislation, the rights granted by that legislation are not affected.
Each party acknowledges that the fees reflect this allocation of risk and that the engagement would not be offered on the same terms without it.
16. Indemnity
You agree to indemnify Dft Sustainable Solution Inc. against claims, losses and reasonable costs arising from your misuse of this website, your breach of these terms or your infringement of the rights of another person. Where you act on behalf of an organisation, that organisation provides the same indemnity.
We will indemnify the client against claims that a deliverable prepared by us, used as intended, infringes the intellectual property of a third party, provided that the client notifies us promptly, allows us to control the defence and does not settle the claim without our agreement.
17. Suspension and Termination
We may suspend or terminate access to this website at any time where these terms are breached. We may also terminate an engagement where a client fails to pay an undisputed invoice after written notice, where a site is unsafe, or where continuing the work would require us to act unlawfully or unethically.
Either party may terminate an engagement for convenience on the notice period stated in the agreement. On termination, the client pays for work completed and for costs already committed up to the date of termination, and we deliver the work in progress in a usable form.
Provisions that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability and indemnity, continue in force after the engagement ends.
18. Changes to the Services and Terms
We may update these terms from time to time to reflect changes in our services, our practices or the law. The current version is always published on this page, and the effective date is shown below. Where a change is material and affects an active engagement, we will notify the client directly.
We may also change, suspend or withdraw a program or part of a program. If a change affects an engagement that has already begun, we will discuss an alternative or an adjustment to the fees with the client before proceeding.
Terms version 2.4. Effective date 1 January 2026. This version clarifies the support period after handover and the allocation of responsibility for third party software licences.
19. Governing Law and Disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute that cannot be resolved by discussion.
Before starting proceedings, the parties agree to attempt to resolve the dispute in good faith by discussion between senior representatives. Either party may give written notice of a dispute, and the parties will meet within fifteen business days of that notice to discuss a resolution.
Where a dispute concerns an amount that falls within the jurisdiction of a small claims court, either party may bring the matter before that court. Nothing in this section prevents either party from seeking urgent injunctive relief where it is necessary to protect confidential information or intellectual property.
